Key Allegations: Chamber of Commerce Sues FTC Over New HSR Rule


On January 10, 2025, the Chamber of Commerce and other business industry organizations sued the Federal Trade Commission (FTC) and FTC Chair Lina Khan in the US District Court for the Eastern District of Texas for alleged violations of the Administrative Procedure Act (APA). The complaint alleges that the agency violated the APA in adopting a new Hart-Scott-Rodino Antitrust Improvements Act (HSR Act) premerger notification form and procedures, which are set to go into effect on February 10, 2025.
